Agreement for Sale of Tokens for $PORN token or PornAI

This Agreement for Sale of Tokens ("PornAI") is made and entered into on [insert date] ("Effective Date") by and between [insert name], a [insert state/country] corporation ("Seller"), and [insert name], a [insert state/country] individual/entity ("Buyer").

WHEREAS, Seller is the creator and issuer of $PORN token or PornAI, a digital asset that is used as a medium of exchange on the Seller's platform and represents an ownership interest in the platform; and

WHEREAS, Buyer desires to purchase $PORN token or PornAI from Seller in accordance with the terms and conditions set forth herein.

NOW, THEREFORE, in consideration of the mutual covenants and promises set forth herein, the parties agree as follows:

1. Sale of Tokens. Seller agrees to sell and transfer to Buyer, and Buyer agrees to purchase from Seller, [insert number] $PORN tokens or PornAI tokens (the "Tokens") for a total purchase price of [insert amount in USD] ("Purchase Price").

4. Representations and Warranties of Seller. Seller represents and warrants to Buyer that:

b. The Tokens are free and clear of any liens, encumbrances, or claims of third parties;

c. The Tokens have not been subject to any sale, transfer, or other disposition, except as contemplated by this Agreement;

d. The Tokens comply with all applicable laws and regulations; and

e. Seller has not engaged in any fraudulent activity in connection with the Tokens.

1. Representations and Warranties of Buyer. Buyer represents and warrants to Seller that:

a. Buyer has the necessary power and authority to enter into this Agreement and to perform its obligations hereunder;

b. Buyer is purchasing the Tokens for investment purposes only and not with a view to distribute or sell them to others;

c. Buyer understands and accepts the risks associated with owning and using digital assets, including the possibility of losing all or a portion of the Tokens' value;

d. Buyer is not a citizen or resident of any jurisdiction in which the purchase, ownership, or use of digital assets is prohibited by law; and

e. Buyer has not engaged in any fraudulent activity in connection with this Agreement.

1. Indemnification. Each party shall indemnify, defend, and hold harmless the other party and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, liabilities, and expenses arising out of or relating to any breach of this Agreement by the indemnifying party.

2. Governing Law and Jurisdiction. This Agreement shall be governed by and construed in accordance with the laws of [insert governing law jurisdiction]. Any dispute arising out of or in connection with this Agreement shall be resolved by arbitration in accordance with the rules of the [insert arbitration body], and judgment upon the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.
